1. Agreement to Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("you," "your," or "user") and Portal Puff Inc. ("Company," "we," "us," or "our"), operating under the brand name Ten Star Loyalty ("Ten Star").
By accessing or using the Ten Star Loyalty platform, website, SMS messaging services, or any related services (collectively, the "Service"), you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
2. Description of Service
Ten Star Loyalty is a loyalty rewards platform for local businesses. The Service enables participating merchants to offer phone-number-based loyalty programs to their customers. Features of the Service include:
- Points-based reward tracking and redemption.
- Automated and promotional SMS/MMS messaging.
- Customer enrollment via website, text-to-join, or in-store registration.
- Analytics and customer engagement tools for merchants.
3. Eligibility
You must be at least 13 years of age to use the Service. If you are under 18, you may use the Service only with the involvement of a parent or legal guardian who agrees to be bound by these Terms.
By using the Service, you represent and warrant that you meet these eligibility requirements.
4. Customer Enrollment & Consent
Customers enroll in a merchant's Ten Star loyalty program by providing their phone number through one of the following methods:
- Website enrollment: By checking the consent checkbox on our website or a merchant's enrollment page and providing your phone number.
- In-store registration: By providing your phone number to a merchant employee at a physical point of sale and giving verbal or written consent to enroll.
- Text-to-Join: By texting a designated keyword to the merchant's number, which constitutes your consent to enroll.
By enrolling through any of these methods, you consent to receive automated loyalty rewards updates and promotional messages from the merchant via SMS/MMS at the phone number you provided.
5. SMS/Text Messaging Terms
By opting in to a merchant's SMS program through Ten Star Loyalty, you agree to the following:
5.1 Program Description
You are opting in to receive automated loyalty rewards notifications, points balance updates, reward redemption confirmations, promotional offers, and related marketing updates from the merchant whose loyalty program you have joined. These messages are sent via Ten Star Loyalty on behalf of the participating merchant.
5.2 Message Frequency
Message frequency varies. The number of messages you receive depends on the merchant's program configuration, your purchase activity, and any promotional campaigns the merchant runs. You may receive transactional messages (e.g., points earned, reward available) as well as promotional messages (e.g., special offers, double-points events).
5.3 Message and Data Rates
Message and data rates may apply. Standard messaging and data rates from your wireless carrier may apply to messages sent and received. Please contact your wireless carrier for details about your messaging plan.
5.4 Opt-Out
Reply STOP to cancel. You may opt out of receiving SMS messages at any time by replying STOP to any message you receive from us. After opting out, you will receive a one-time confirmation message. You will no longer receive promotional SMS messages from that merchant, though you may still receive transactional messages essential to your account. You may also opt out by contacting us at support@portalpuff.com.
5.5 Help
Reply HELP for help. If you need assistance, reply HELP to any message or contact us at support@portalpuff.com.
5.6 Supported Carriers
The Service supports messaging to all major U.S. wireless carriers, including but not limited to AT&T, Verizon, T-Mobile, Sprint, and their MVNOs. Carriers are not liable for delayed or undelivered messages.
5.7 Mobile Data Privacy
Your privacy is important to us. Please review our Privacy Policy for details on how we handle your personal information, including mobile data.
Mobile information will not be shared with third parties/affiliates for marketing/promotional purposes. All the above categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.
6. User Accounts
Merchant users who create accounts on Ten Star Loyalty are responsible for maintaining the confidentiality of their account credentials and for all activities that occur under their account. You agree to notify us immediately of any unauthorized use of your account.
7. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
- Attempt to gain unauthorized access to the Service, other user accounts, or related systems.
- Interfere with or disrupt the integrity or performance of the Service.
- Transmit any spam, unsolicited messages, or malicious content through the Service.
- Use the Service to collect personal information of other users without their consent.
- Reverse engineer, decompile, or disassemble any part of the Service.
8. Intellectual Property
The Service and its original content, features, and functionality are owned by Portal Puff Inc. and are protected by international copyright, trademark, and other intellectual property laws. The Ten Star name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Portal Puff Inc.
9. Merchant Responsibilities
Merchants using Ten Star Loyalty are responsible for:
- Obtaining proper consent from customers before enrolling them in their loyalty program.
- Honoring the rewards and offers advertised through the Service.
- Complying with all applicable laws and regulations, including TCPA, CTIA guidelines, and FCC regulations regarding SMS messaging.
- Ensuring the accuracy of promotional content sent through the platform.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PORTAL PUFF INC. DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PORTAL PUFF INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE.
12. Indemnification
You agree to indemnify, defend, and hold harmless Portal Puff Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Service or violation of these Terms.
13. Termination
We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Service will cease immediately. All provisions of these Terms which should reasonably survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Kent County, Delaware.
15. Changes to These Terms
We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last Updated" date at the top of this page. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms.
